HELP – BP Upgrade from 1.2.3 to 1.2.4.1 – HELP

WPMU 2.9.2

I recentrly tried to upgrade from BP 1.2.3 to 1.2.4.1 getting > Plugin could not be activated because it triggered a fatal error.

Tried to upgrade automatically, no error message during install but can not activate it neither sidewide activation.
Copy over new version, same result.
Move all plugins from Pluging folder, same result

Any suggestions ?
